Kalfa Law Firm is a boutique all-remote corporate-commercial and private M&A law firm. We are currently looking for a Senior Associate Lawyer with 6-10 years experience in the area of corporate-commercial and private M&A law. Successful candidate must be experienced in managing their matters independently, possess excellent organizational, writing, and verbal skills, and be self-motivated. Duties
- Prepare commercial contracts: shareholders agreements, loan agreements, terms and conditions, distribution agreements, master services agreements, distribution agreement and other commercial agreements
- Commercial transactions – independantly manage commercial closings in the purchase and sale of businesses; preparation of LOIs, APS, APAs, SPAs, closing documents, agendas, communication with all parties, satisfaction of conditions (franchisor, landlord, due diligence); review of material contracts, franchise agreements, preparation of ancillary documents etc.
- Commercial financing – tending to all elements of borrower side transaction funding
- Corporate law – Incorporation, Amalgamation, Amendment, Dissolution, Revival, Continuances etc
- Tax driven reorganizations – estate freezes, s.85 rollovers, s.86 exchanges
- Assist with legal administrative tasks such as maintaining case files, tracking deadlines, and assisting senior lawyers.
- Other routine corporate matters
- Real estate transactional knowledge a bonus
Requirements
- Juris Doctor (JD) degree from an Ontario law school; admission to the bar in Ontario
- At least 6-10 years experience in corporate-commercial law
- Excellent English verbal and written communication skills
- Computer: Word, Excel, Outlook, Teraview, Clio
- Able to multi-task and manage significant workload
- Excellent organizational skills with ability to work well under pressure and with minimal supervision
- Salary commensurate with experience, between $120-$170k/ann
