Current Positions

Real Estate or Commercial Law Clerk/Legal Assistant -

We are currently looking for a full time Real Estate Law Clerk or Commercial Law Clerk to assist in business purchase and sales, also known as commercial transactional law. If you are a real estate law clerk tired of the monotonous practice of traditional real estate, this role may be for you. Using your skills as a real estate law clerk you will learn to assist in commercial transactions. Compensation is higher than that paid to real estate law clerks and so this is a great opportunity for an experienced real estate law clerk to move up and shift to a similar but new area of law. Business transactions are dynamic and complex – there is a small amount of ordinary data entry compared to real estate law, and much more client interaction in ensuring all ends relating to the business purchase or sale are properly tied together.

Essential Functions:

Responsible for clerical, administrative and general office duties, including:

  • Assisting in business purchase and sale transactions including preparation of first draft of Share Purchase or Asset Purchase Agreement; preparation of closing agenda; assistance with satisfaction of conditions such as landlord and franchisor communication; preparation of closing documents for commercial transaction (business purchase and sales)
  • Drafting and completing corporate documents such as Articles of Incorporation, Dissolution, Amalgamation, Amendment, Continuance, Revival; preparing by-laws, organizational resolutions, ledgers and minute books
  • Performing independently residential real estate transactions and financing transactions completely, including reporting
  • Managing all procedural and administrative tasks
  • Opening files, filing, arranging meetings, managing calendars
  • Coordinating and monitoring administrative tasks to ensure completion of work accurately and in a timely manner
  • Liaising with clients to obtain information and instructions
  • Liaising professionally with clients, other law firms and support staff
  • Completing a substantial portion of all files in a variety of areas of law
  • Recording your time dockets and preparing accounts

Qualifications and Skills

  • Law Clerk diploma
  • Member, Institute of Law Clerks of Ontario – Associate level
  • Minimum of 5 years’ experience as a real estate law clerk or commercial law clerk
  • Excellent English verbal and written communication skills
  • Computer: Word, WordPerfect, Excel, Outlook, Teraview, legal research software

Bonus

  • Knowledge of Do Process corporate software Fastcompany and Will builder
  • Knowledge of PracticePanther, Clio or Amicus Attorney file management systems
  • Knowledge of citrix conveyancer and Teraview

Salary commensurate with experience ($55,000 +).
